    Article 1 - Name
    The name of the organization shall be the School Nurse Association of North Carolina (SNANC).
    Article II – Goals
    The goals of the organization shall be:
    To promote and advance the quality of school health services throughout the state
    To promote the knowledge base, interests, and rights of school nurses in North Carolina
    To promote increased understanding of the school nurse’s role in schools by members
    of the educational community

    To operate exclusively as an educational organization on a non-profit basis
    Article III – Affiliation
    The organization shall be an affiliate of the National Association of School Nurses (NASN)
    The organization’s membership shall choose to affiliate with other organizations by
    vote of two-thirds of a quorum present at an annual meeting (providing that there is a
    quorum present), see Article VII, Section 3

    Article IV – Membership and Dues
    Eligibility: Active membership shall be open to any registered professional nurse who
    meets the requirements for school nursing in North Carolina, and who is in compliance
    with such other qualifications or requirements set forth in these bylaws.

    Instatement: Any person eligible for membership shall become a member upon
    payment of dues set for his/her class of membership and who meets the requirements
    set forth in these bylaws for his /her class of membership.

    Classification. There shall be six classes of membership: Active, Associate, Retired, Student,
    Corporate/Business/Professional Organization, and Member at Large

    a. Active
    i. An active member shall:
    be a registered professional nurse currently licensed in the state of North Carolina
    have as their primary assignment, the administration, education or the provision of school health services
    meet the North Carolina criteria for certification as a school nurse as outlined by the General Assembly
    ii. Any retired member who desires to remain in the Active membership classification shall
    be required to pay full Active dues and upon payment of dues, shall be granted Active
    membership privileges

    b. Associate

    An associate member shall:

    be any registered professional nurse who is not eligible for Active membership, but who serves a school as a school nurse
    be any registered nurse that serves in a volunteer capacity in school health
    c. Retired
    Retired members shall be any active member of SNANC who upon
    retiring from school nursing shall be eligible to become a Retired member
    upon notification to the Association

    d. Student
    Student members shall:
    be enrolled in a professional nursing program, not employed as a school nurse on a full or part time basis
    Submit proof of enrollment in a professional nursing program with the membership form
    be ineligible for student membership if they have completed the requirements to be a school nurse and are pursuing further education
    not be granted to a person who has previously attained or been eligible for active status
    be allowed a maximum of five years of student membership

    e. Corporate/Business/Professional Organization
    Members shall be those organizations or persons who desire to support the goals of SNANC and whose members are not eligible for Active or Associate Membership in SNANC.
    Granting of a Corporate/Business/Professional Organization membership shall in no way bind SNANC to support philosophies or policies of any Corporate/ Business/Professional Organization members.
    f. Member-At-Large
    A Member-at-Large shall be anyone who is interested in the provision of school Health services in the state of North Carolina and who does not fit into any other membership classification.
    A member-at-large be permitted to serve on a committee, participate in discussions, but may not vote.
    Rights: Active members shall be entitled to exercise full membership rights.
    Rights-Restrictions Associate: Retired, Student, Corporate/Business/Professional organization and Member-at-Large members shall have all the privileges of membership, except the privilege of voting and holding an office.
    Dues: All annual dues shall be established by the Executive Board, as recommended by the Finance Committee.
    Article V – Fiscal and Membership Year
    For the purposes of this organization, the fiscal year shall be August 1 – July 31.
    Payment of dues authorizes membership in the organization for one full year from the date of payment. Membership growth is calculated based on the fiscal year.
    Article VI – Officers
    1 Composition: The elected officers of the organization shall be President, President-elect, Secretary, Treasurer, and NASN State Director.
    2 Eligibility: Only active members who are working in the field of school nursing and who have been SNANC members for no less than two years shall be eligible to hold office.
    3 Term of Office
    a. The president, president elect and past president shall serve for a term of one year.
    b. The President shall automatically succeed the office of Past President at the expiration of
    the Past President’s term.

    c. The president elect shall be elected every year and shall automatically succeed
    the office of the president at the expiration of the president’s term, and shall act
    for the president in the absence of the president.

    d. The immediate Past President shall serve on the Executive Board and represent
    SNANC at the discretion of the Executive Board on state wide committees and
    other liaison functions and serve as Parliamentarian.

    e. The secretary shall serve a two-year term or until a successor is elected. The
    secretary shall be elected in the even numbered years.

    f. The treasurer shall serve a two-year term or until a successor is elected. The
    treasurer shall be elected in the odd numbered years.

    g. The NASN State Director shall serve a four year term or until a successor is
    elected. The NASN State Director shall be elected in the years divisible by four.

    (i) The NASN State Director shall serve no more than one four year term at a time with
    the following exceptions:

    a. A director who has been elected or appointed to serve an unexpired term shall be eligible to serve an additional four year term

    b. The currently serving director may serve one additional year if an affiliate has a lack of qualified candidates. Notification of any exceptions to the term limitations stated herein shall be made in accord with the procedures outlined in the policies and procedures established by the Executive Board

    (ii) A NASN State Director may be re-elected to serve after being off the Board for at least four years

    h. The term of office for all officers shall commence at the close of the Annual
    a. A vacancy in the office of president shall be filled by the president elect, who
    shall serve for the unexpired term of the president and the term of office as
    president to which he/she was elected.

    b. A vacancy in the office of president elect shall be filled by a vote of the
    membership at the next scheduled election.

    c. A vacancy in the offices of secretary, treasurer, or NASN State Director shall be
    filled to complete the unexpired term by a general membership vote at the next
    election. Until an election occurs, an officer, meeting the criteria set forth in
    Article VI, Section 2, will be appointed by the president and approved by the
    executive board.

    5 Duties: The officers shall perform those duties prescribed by these bylaws, parliamentary authority adopted by SNANC, and those duties specified in the policies and procedures.
    6 Nominating Committee:
    a. The nominating committee shall consist of the immediate past president, the
    nominations chair, and the nominations chair of each region of SNANC

    b. The Chairperson is appointed by the President

    c. Duties:

    a. to seek out qualified candidates for office, as outlined in the policies and procedures, and to report to the executive board , and to report to the executive board at the meeting preceding the Annual Meeting.

    b. regulate the election of officers

    c. regulate the selection of School Nurse of the Year and School Nurse Administrator of the Year
    7 Elections: Elections of officers shall be by ballot. Biographical data of the candidates and ballots shall be provided to all eligible members and returned in accord with procedures outlined in the policies and procedures. Plurality vote of those voting in any election shall constitute an election.
    8 Any disciplinary procedures within SNANC shall be conducted as prescribed by our parliamentary authority, Robert’s Rules of Order Newly Revised.
    Article VII – Meetings
    1 Annual Meeting: The organization shall hold an annual meeting each year, at a time and place the Executive Board shall determine, to install officers, conduct business, hear reports of progress of the past year, amend By-laws, approve the financial review, and do other business as may properly come before it.
    2 Special Meetings: Special meetings of the general membership concerning national or regional matters may be called by the Executive Board as it deems proper and necessary.
    3 Quorum: A quorum will be met at Annual Business meetings with 10% of SNANC membership present at the business meeting.
    4 Electronic meetings: Executive Board and standing and special committees are authorized to meet by telephone conference or through other electronic communication media so long as a quorum is present and all the members simultaneously hear each other and participate during the meeting.
    Article VIII – Executive Board
    1 Composition: The Executive Board shall be composed of the elected officers, immediate past-President, standing committee chairpersons, as defined in Article IX, the State School Nurse Consultant (ex-officio), and a delegate from each regional association.
    2 Eligibility: All Board members must be a current Active member and must have been Active members
    for at least one year prior to serving on the Board.

    3 Authority: The Executive Board shall:
    a. Conduct the affairs of SNANC in accordance with the bylaws and directives adopted by the membership at the Annual Meeting.
    b. Have full power to put into effect the policies and decisions of SNANC.
    4 Duties: The Executive Board shall:
    a. formulate Standing Committee policies/procedures which shall be reviewed every four years
    b. approve Standing Committee members who are appointed by the President
    c. perform business matters that properly come before it
    d. review and endorse proposed budget, including dues schedule as presented by the Finance Committee
    e. provide for a review and an update of the Strategic Plan as needed on even-numbered years
    5 Meetings: The Executive Board shall:
    a. meet at least once prior to the Annual Meeting.
    b. upon due notice, hold such other meetings as the Executive Board may determine.
    6 Quorum: A majority of the members of the Executive Board, including at least two elected officers, shall constitute a quorum.
    7 No member of the Executive Board shall hold more than one voting position at a time.
    Article IX – Committees
    1 Standing and Special Committees
    a. Unless otherwise stated, the composition, power, term, and duties of all standing and special committees shall be recommended by the president and approved by the Executive Board.
    b. The president or his/her designee shall be an ex-officio member of all committees except the nominating committee.
    2 There shall be the following Committees: Finance, Legislative, Professional Practice and Standards, Membership, Nominations, Communications, Marketing, Scholarship Continuing Education, Website and Ad Hoc.
    3 Chairpersons of each Standing and Special Committee shall be appointed by the President with the approval of the Executive Board
    4 Members of all the Association’s Standing and Special Committees shall perform the duties of their committees as set forth in the policies and procedures. Permanent records shall be transferred to the oncoming chairpersons, and filed with the Secretary.
    Article X– Amendments
    These By-laws can be amended by two-thirds vote at the Annual Meeting.
    Article XI– Procedural Governance
    The rules contained in the current edition of The New Robert’s Rules of Order Newly Revised shall govern this organization in all cases in which they are applicable and to which they are not inconsistent with the by-laws or any special rules of order this organization may adopt.
